Explanation of Responses:

1. The award vests as to 1/12 of the stock options on each monthly anniversary of the grant date with all remaining unvested stock options vesting on the date of the Company's 2023 annual shareholders meeting, subject to the Reporting Person's continued service with the Issuer through such anniversaries and the other terms and conditions of the grant agreement.
