Explanation of Responses:

1. On May 23, 2021, the reporting person was granted the option to purchase 80,000 shares of common stock at $1.81 per share pursuant to the Company's 2012 Option Plan (the "Plan"). The options will vest as follows: 50% of the options shall be fully vested upon their issuance; 25% of the options shall be vested following 12 months as of the date of their issuance and 25% of the options shall be vested following 24 months as of the date of their issuance. All capitalized but undefined terms have the meanings ascribed thereto by the Plan.
