Explanation of Responses:

1. Pursuant to the terms of the Issuer's 2021 Long-Term Incentive Plan, the Reporting Person was granted Restricted Stock Units ("RSU"), which shall vest into common stock of the Company in accordance with the following schedule, subject to the Reporting Person's continuous service with the Issuer: 100% of the RSUs will vest on January 1, 2024.
