1. Each deferred stock unit (DSU) represents a right to receive one share of common stock. These DSUs were awarded pursuant to our 2014 Amended and Restated Equity Incentive Plan. The issuance of the shares of common stock underlying the DSUs is deferred to the date the reporting person is no longer providing service to RiceBran Technologies.

2. These DSUs are vested at issuance.
