Explanation of Responses:

1. On May 2, 2023, upon Reporting Person's election, Reporting Person was granted a restricted stock award ("RSA") of 10,345 shares of Issuer's common stock in lieu of quarterly cash Board and supplemental retainers for the current one-year term. This RSA will vest in four substantially equal installments on the date of grant and on the three-month, six-month, and nine-month anniversaries of the last day of the month in which the RSA was granted.
