Explanation of Responses:

1. The Options are granted under TFF Pharmaceuticals, Inc. 2021 Stock Incentive Plan ("Plan") and the exercise of the Options is subject to stockholder approval of the Plan. Subject to stockholder approval of the Plan, each Option shall vest and first become exercisable as follows: one-quarter of the Option shall vest and first become exercisable on September 22, 2022 and the remainder of the Option shall vest and first become exercisable in 12 equal quarterly installments commencing on December 22, 2022.
