1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions ranging from $45.195 to $45.467, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the Staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in this footnote.

2. Reflects 2,660 shares of unvested restricted stock granted to the reporting person which vest as follows: (i) 640 shares vest on July 1, 2023; (ii) 160 shares vest on April 1, 2024; (iii) 480 shares vest on July 1, 2024; (iv) 160 shares vest on April 1, 2025; (v) 360 shares vest on July 1, 2025; (vi) 160 shares vest on April 1, 2026; (vii) 240 shares vest on July 1, 2026; (viii) 160 shares vest on April 1, 2027; (ix) 140 shares vest on July 1, 2027; and (x) 160 shares vest on April 1, 2028.
