Explanation of Responses:

1. Each RSU represents a contingent right to receive one share of the Issuer's common stock.

2. The restricted stock units (RSUs) are released at vest. Twenty-five percent (25%) of the Restricted Stock Units will vest on each of the one (1), two (2), three (3) and four (4) year anniversaries of grant date.

3. Each PSU represents a contingent right to receive one share of the Issuer's common stock.

4. The performance stock units vest upon Accuray's common stock achieving a specific price per share during specific performance periods.
