1. Each restricted stock unit is equivalent to one share of the Issuer's common stock.

2. The reporting person received an award of 87,500 restricted stock units ("RSUs") on August 14, 2026. The RSUs vest over a three-year period, with approximately one-third (1/3) of the RSUs vesting on August 14, 2027, approximately one-third (1/3) of the RSUs vesting on August 14, 2028, and the remaining RSUs vesting on August 14, 2029.
