Explanation of Responses:

1. Fully exercisable.

2. Options vest in 48 equal monthly installments, beginning on October 14, 2024, the date of grant, subject to continued employment through the vesting date.

Remarks:

On January 16, 2024, the Issuer effected a reverse stock split of the Issuer's common stock at a ratio of 1-for-20 (the "Reverse Stock Split"). As a result of the Reverse Stock Split, the shares of common stock, and the exercise price and shares of common stock underlying outstanding equity awards, have been adjusted accordingly, as compared to amounts previously reported by the Reporting Person. Effective February 14, 2024, the Issuer changed its legal name from Reviv3 Procare Company to AXIL Brands, Inc.
