Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock.

2. Ten percent of the RSUs vest upon each of the first eight anniversairies of the grant date. The remaining 20% of the RSUs vest on the ninth anniversary of the grant date.
