Explanation of Responses:

1. On February 4, 2021, Lefteris Holdings, LLC, the sponsor of the Issuer (the "Sponsor") transferred 10,000 shares of Class B common stock of the Issuer to each of the Issuer's independent directors at a price per share equal to$0.00386. The Reporting Person is an independent director of the Issuer.

2. The Shares of Class B common stock are convertible for shares of the Issuer's Class A common stock under the heading "Description of Securities" in the Issuer's Registration Statement on Form S-1 (File No. 333-249290) (the "Registration Statement") and have no expiration date.
