1. Grant of Restricted Stock for services in 2023. Shares are registered under Issuer's 2016 Equity Incentive Plan and will vest, provided the Reporting Person is still a director on such vesting date, on the earlier of (i) Issuer's next Annual Shareholders Meeting; (ii) 12 months after the date of grant reported in this Form 4; or (iii) Reporting Person's resignation following any Change in Control of the Issuer.
