Explanation of Responses:

1. The shares of Class B common stock, par value $0.0001 per share ("Class B Common Stock"), of the issuer are convertible into an equal number of shares of Class A common stock, par value $0.0001 per share ("Class A Common Stock"), of the issuer and have no expiration date. On March 30, 2023, the Reporting Person elected to convert 3,550,000 shares of Class B Common Stock into shares of Class A Common Stock.

2. The number of shares of Class B Common Stock gives effect to the forfeiture of 750,000 shares of Class B Common Stock by the Reporting Person, with effect as of November 13, 2021, as a result of the underwriters in the issuer's initial public offering not exercising the over-allotment option in full or in part.

3. The shares are held directly by Home Plate Sponsor LLC, the sponsor of the issuer (the "Sponsor"). The Reporting Person indirectly controls the Sponsor, and may be deemed to beneficially own the securities held by the Sponsor. The Reporting Person disclaims beneficial ownership of the securities held by the Sponsor except to the extent of his pecuniary interest therein.
