Explanation of Responses:

1. Each performance stock unit ("PSU") represents a contingent right to receive one share of Class A Common Stock.

2. The PSUs will vest, if at all, in three approximately equal installments if the 30-day volume weighted average trading price of the Issuer's Class A Common Stock exceeds certain price thresholds prior to February 28, 2027.

3. Each restricted stock unit ("RSU") represents a contingent right to receive one share of Class A Common Stock.

4. The unvested RSUs, originally granted on February 5, 2024, will vest in three approximately equal annual installments.
