Explanation of Responses:

1. The reporting person's deferred share units represented the right of such reporting person to receive the indicated number of shares of common stock, par value $0.10 per share of the issuer upon the retirement of the reporting person from the board of directors.

2. On June 12, 2023, the reporting person filed a Form 4 that inadvertently reported the disposal of 2,787,551 deferred share units in Column 5 of Table II.
