Explanation of Responses:

1. The restricted stock award vests in full upon the earlier of (i) June 13, 2024 or (ii) the day before the Company's 2024 annual meeting of stockholders.

2. This transaction represents shares required to be sold by the Reporting Person to satisfy certain equity plan administrator fees and taxes in connection with the vesting of shares of restricted stock. This sale was mandated by the equity plan administrator and does not represent a discretionary trade by the Reporting Person.

3. The option vests in full upon the earlier of (i) June 13, 2024 or (ii) the day before the Company's 2024 annual meeting of stockholders.
