Explanation of Responses:

1. Represents partial compensation for services as a director of the Issuer for the board year commencing on April 1, 2021 and ending March 31, 2022. Provided the Reporting Person is a service provider to the Issuer at the time of vesting, the RSU's will vest in equal quarterly amounts on 6/30/21, 9/30/21, 12/31/21, and 3/31/22.

2. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.
