Explanation of Responses:

1. The reported securities were redeemed by the Issuer at a price equal to $10.00 per share.

2. The shares were held directly by Dark Forest Global Equity Master Fund LP ("Master Fund"). Dark Forest Capital Management LP, as the investment manager to the Master Fund, possessed the sole power to direct the vote and the sole power to direct the disposition all investment and dispositive power over the securities held by the Master Fund. Dark Forest Capital Management LP disclaims beneficial ownership of such shares, except to the extent of its pecuniary interest therein. This report shall not be deemed an admission that the reporting person, the Master Fund or any other person is the beneficial owner of the securities reported herein for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
