Explanation of Responses:

1. Each restricted stock unit ("RSU") represents the contingent right to receive one share of the Issuer's common stock.

2. The reporting person is a participant in the Issuer's Amended and Restated 2013 Stock Option and Incentive Plan and received 25,000 RSUs on January 20, 2021 (the "Grant Date"). The RSUs vest in full on the second anniversary of the Grant Date.
