Explanation of Responses:

1. Issued pursuant to the Company's 2013 Director's Stock Option Plan.

2. Option becomes exercisable as to 1,250 shares on 12/31/2021 and for an additional 1,250 shares on each succeeding October 31 through 12/31/2024.

3. In the event that the Reporting Person ceases to serve as a director of the Company, the option expires thirty days after the date upon which such service has ceased and is exercisable only to the extent exercisable on the date upon which such service ceased.
