Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of Gap Inc. Common Stock.

2. On March 18, 2024, the reporting person was granted 177,690 restricted stock units, vesting in four equal annual installments beginning on the first anniversary of the grant date. This amended Form 4 is filed to correct the number of restricted stock units previously reported incorrectly due to an administrative error.
