1. Issued pursuant to the Issuer's Director Compensation Program as set forth in the Issuer's definitive proxy statement filed with the U.S. Securities and Exchange Commission on June 25, 2024, which provides for the issuance of a stock option to non-employee directors on the date of the Issuer's Annual Meeting of Stockholders. The option vests ratably over a 12-month period and becomes fully vested and exercisable on the first anniversary of the date of grant.
