Explanation of Responses:

1. The Restricted Stock Units (the "RSUs") reported herein shall vest as follows: Fifty percent (50%) of the shares subject to the award shall vest on July 1, 2025, twenty-five percent (25%) of the shares subject to the award shall vest on October 1, 2025 and the remaining twenty-five percent (25%) of the shares shall vest on January 1, 2026, provided that the reporting person remains in continuous service with zSpace, Inc. (the "Company") through each applicable vesting date. Such RSUs were granted to the reporting person by the board of directors of the Company pursuant to (i) the Company's 2024 Equity Incentive Plan and (ii) the Company's board of directors annual compensation policy.
