2. This restricted stock unit vests on the earlier of (i) the date of the Issuer's 2027 annual meeting of stockholders or (ii) June 26, 2027. In the event of a Change in Control (as defined in the Issuer's 2023 Equity Incentive Plan), the restricted stock units not previously vested shall immediately become vested.
