Explanation of Responses:

1. Each time-based restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs do not expire. They either vest or are cancelled prior to the vesting date.

2. Represents the grant of RSUs under the Issuer's 2019 Equity Incentive Plan, as amended, and the Amended and Restated Non-Employee Director Compensation Policy, which are prorated based on the Reporting Person's service to the Issuer from their appointment date through the Issuer's 2026 Annual Meeting of Stockholders. 100% of the RSUs granted will vest on the earlier of the one year anniversary of the date of grant (August 26, 2027) and the date of the Issuer's 2027 Annual Meeting of Stockholders, subject to the Reporting Person's continued service as a director of the Issuer on the applicable vesting date.
