1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. The RSUs issued pursuant to the Medallion Financial Corp. 2018 Equity Incentive Plan will fully vest on June 12, 2026 and settlement is deferred until termination of service as a member of the Board of Directors.
