Explanation of Responses:

1. On May 8, 2025, EON Resources Inc. (the "Issuer") entered into an Exchange Agreement with the reporting person, pursuant to which the Issuer issued to the reporting person a convertible promissory note due January 31, 2028 in the principal amount of $1,100,000 (the "Convertible Note") in exchange for 1,000,000 redeemable warrants (each exercisable to purchase three-quarters of a share of Class A Common Stock, par value $0.0001 per share ("Class A Common Stock"), of the Issuer at $11.50 per share, subject to adjustment) and a promissory note due May 7, 2029 in the principal amount of $100,000.

2. The Convertible Note is convertible by the reporting person at any time after issuance into shares of Class A Common Stock at a conversion price equal to the greater of (a) $0.25 per share or (b) 90% multiplied by the average of the three lowest VWAPs of the Class A Common Stock over the ten trading days prior to conversion (the "Conversion Price"). If, at any time the Convertible Note is outstanding, the Issuer issues or sells Class A Common Stock for no consideration or at a price lower than the then-current Conversion Price, then the Conversion Price of the Convertible Note will be automatically reduced to the amount of consideration per share received by the Issuer in such sale or offering

3. On May 13, 2025, the reporting person agreed to sell and transfer the Convertible Note in a private transaction for $1,100,000.

4. The reporting person owns a 100% ownership interest in the class of membership interests of JVS Alpha Property, LLC which purchased and was assigned an interest in the redeemable warrants and the Convertible Note.
