Explanation of Responses:

1. The Deferred Stock Units shall be 100% vested on the earlier of the first anniversary of the date of grant and the day immediately preceding the Issuer's 2026 Annual Meeting of Shareholders. Each Deferred Stock Unit shall convert into one share of the Issuer's common stock immediately after termination of the Reporting Person's service as a member of the Board of Directors of the Issuer.

2. Includes the credit of dividends to the Reporting Person's deferred stock account under the Issuer's 2006 Long Term Incentive Plan, as amended and restated.
