Explanation of Responses:

1. The shares subject to such option vest in 36 equal monthly installments over three years from the Award Date, subject in each case to the grantee's continued service through the applicable vesting date.

2. Represents a pro-rated annual option grant to a non-employee director upon appointment to the Board of Directors of the Company. The shares subject to such option vest in twelve equal monthly installments, commencing on the Award Date, subject in each case to the grantee's continued service through the applicable vesting date.
