Explanation of Responses:

1. These shares of common stock represent restricted share units granted pursuant to a Restricted Share Unit Agreement between Mr. Dougherty and the Issuer and are subject to forfeiture. The restricted share units awarded will vest at the earlier of June 12, 2024 or the date of the Issuer's 2024 Annual Meeting of Stockholders.

2. These restricted share units were granted to Mr. Dougherty for his service as a member of the Board of Directors of the Issuer.
