1. Consists of 5,017 shares withheld for tax purposes in connection with the vesting of 16,667 Restricted Stock Units ("RSUs") on July 12, 2023.

2. Includes 16,667 RSUs which vest on July 12, 2024; 1,544 RSUs which vest in equal installments on March 15, 2024 and March 15, 2025, respectively; and 25,000 RSUs which in equal installments on March 15, 2024, March 15, 2025 and March 15, 2026, respectively.
