Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. The RSUs vest on the earlier of (i) May 24, 2023 and (ii) one day prior to the Company's 2023 annual meeting of shareholders, subject to the Reporting Person's continued service with the Issuer through such vesting date. The RSUs have no expiration date.

3. The RSUs vest on the earlier of (i) May 17, 2024 and (ii) one day prior to the Company's 2024 annual meeting of shareholders, subject to the Reporting Person's continued service with the Issuer through such vesting date. The RSUs have no expiration date.
