Explanation of Responses:

1. Contingent right to receive issuance of Culp, Inc. common stock.

2. This Amendment is being filed to correct an inadvertent error in the previously reported Table II - "Number of Derivative Securities Acquired (A) or Disposed of (D)" - to reflect that the derivative securities reported were disposed of (rather than acquired).

3. These restricted stock units represent the right to receive 2,112 shares of Culp, Inc. common stock based upon the reporting person remaining employed by the company as of the end of the three-year vesting period, as described in the award agreement.

4. This Amendment is being filed to correct an error in the previously reported Table II - "Number of Derivative Securities Beneficially Owned Following Reported Transaction(s)".
