Explanation of Responses:

1. The Reporting Person received 794,318 shares of Issuer common stock from a distribution from Kennedy Cabot Acquisition, LLC ("KCA").

2. Certain family members of the Reporting Person received 701,003 shares of Issuer common stock from a distribution from KCA. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.

3. The Reporting Person is the Managing Member of KCA and effective April 1, 2021, KCA completed a distribution to its members, pro-rata without consideration, of 3,177,283 shares of Issuer common stock.
