1. These restricted stock units convert into common stock on a one-for-one basis and become payable upon the Reporting Person's separation from service with VerifyMe, Inc. (the "Issuer").

2. Includes the following (i) 69,445 shares of restricted stock that vest on 6/7/2024 and (ii) 15,217 vested restricted stock units that become payable, on a one-for-one basis, in shares of common stock of the Issuer upon the Reporting Person's separation from service with the Issuer.

3. These restricted stock units vested on 7/1/2023.
