Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.

2. The restricted stock units are fully vested. The restricted stock units will be distributed in a lump sum payment in the form of common stock, on the 90th business day following the date of the reporting person's termination of service.

3. This Form 4/A is being filed to amend the Form 4 filed on January 26, 2023 (the "Original Report"), to correct an inadvertent administrative error in the number of common shares reported as beneficially owned following the reported transaction. On November 30, 2022 the issuer split its common shares in a one-for-20 reverse stock split (the "Reverse Split"). The Original Report should have reflected ownership of shares acquired pursuant to the Reverse Split.
