Explanation of Responses:

1. The stock options were approved by the board of directors on December 4, 2023, subject to shareholder approval of the grant. Shareholders approved the grant on June 3, 2024.

2. The stock options will vest on January 31, 2026, provided that the recipient provides continuous service as Executive Chairman through January 31, 2026. The stock options may only be exercised during a period commencing from January 31, 2028 to January 31, 2029.
