1. These restricted stock units, or RSUs, were granted to the reporting person for services on the board of directors of the issuer. Subject to the reporting person's continued service to the issuer, such RSUs vest quarterly over one year, or one-fourth each on September 5, 2023, December 5, 2023, March 5, 2024 and June 5, 2024.
