Explanation of Responses:

1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. 25% of the RSUs vested on June 16, 2022, and the remainder will vest as to 1/16 of the total RSUs quarterly until fully vested, subject to the Reporting Person's continued service to the Issuer on each vesting date.

3. The RSUs do not expire; they either vest or are canceled prior to the vesting date.
