Explanation of Responses:

1. Thirty-three percent (33%) of the Stock Options shall vest and become exercisable on the first anniversary of the Vesting Commencement Date (February 1, 2022). Thereafter, the remaining Stock Options shall vest and become exercisable in twenty-four (24) equal monthly installments on the last day of each such month following the first anniversary of the Vesting Commencement Date, provided the Reporting Person continues to have a Service Relationship with the Company on each vesting date.
