Explanation of Responses:

1. The performance-based RSUs (PSUs) granted to the reporting person on January 31, 2024, represent the right to receive, following vesting, a number of shares of Common Stock up to 150% of the number of PSUs. The number of shares of Common Stock acquired upon vesting of the PSUs is contingent upon the achievement of a preestablished performance metric, as approved by the Company's Compensation Committee, over a four-year performance period, subject to time based service requirements and continuous employment with the Company through the vesting dates.

2. The number of securities reported represents the maximum shares that can be earned.
