Explanation of Responses:

1. Includes the grant of 1,560 restricted stock units pursuant to the Issuer's 2021 Incentive Plan that vest in equal installments at the rate of 20% per year commencing on May 12, 2024 and that may be settled only in shares of the Issuer's common stock.

2. Includes the grant of 1,250 restricted stock units pursuant to the Issuer's 2014 Incentive Plan that vest in equal installments at the rate of 20% per year commencing on May 12, 2022 and that may be settled only in shares of the Issuer's common stock.

3. Includes the grant of 1,455 restricted stock units pursuant to the Issuer's 2021 Incentive Plan that vest in equal installments at the rate of 20% per year commencing on May 12, 2023 and that may be settled only in shares of the Issuer's common stock.

4. Includes the grant of 925 restricted stock units pursuant to the Issuer's 2014 Incentive Plan that vest in equal installments at the rate of 20% per year commencing on May 12, 2020 and that may be settled only in shares of the Issuer's common stock.
