Explanation of Responses:

1. On April 26, 2023, the reporting person was granted 100,000 Market Stock Units with a vesting date of April 30, 2026. This Market Stock Unit award is subject to performance-based vesting criteria related to the Company's absolute total shareholder return for the period from May 1, 2023, to April 30, 2026. The number of Market Stock Units subject to vest under this award ranges from 0% to 150%.

2. Each Market Stock Unit is the economic equivalent of one share of the Company's Common Stock.
