Explanation of Responses:

1. The Reporting Person received 100,000 shares from the Reporting Person's spouse, Kimberly Gebbia.

2. 2,689,592 shares of Issuer common stock were owned by the spouse of the Reporting Person and was included in the Reporting Person's total indirect beneficial ownership. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.

3. The Reporting Person is part of a control group consisting of family members of the Reporting Person. The transactions listed above did not change the number of shares in the control group. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.
