1. On March 27, 2024, the Issuer granted Mr. Groves a stock option to purchase 100,000 shares of the Company's common stock. The stock option shall vest and become exercisable on January 1, 2025.

3. On March 27, 2024, the Issuer granted Mr. Groves 100,000 restricted stock units ("RSU") vesting in 4 equal installments on March 31, 2024, June 30, 2024, September 30, 2024, and December 31, 2024, with each RSU becoming 1 share of common stock of the Issuer.
