1. Granted in consideration for services rendered and to be rendered as an officer of the Registrant. Granted under the Registrant's 2019 Equity Incentive Plan (75,000 options) and Amended and Restated 2020 Equity Incentive Plan (75,000 options).

2. A total of 1/4th such options vest on each of April 17, 2024, 2025, 2026 and 2027, subject to the Reporting Person's continued service to the Company on such vesting dates.
