Explanation of Responses:

1. Represents a grant of 100,000 restricted stock units under the XWELL, Inc. 2020 Equity Incentive Plan, which vest in equal quarterly installments over a one-year period, with one-fourth vesting at the end of each fiscal quarter, commencing on September 30, 2023, such that the options will be fully vested as of June 30, 2024, subject to the Reporting Person's continuous service through such dates.
