Explanation of Responses:

1. Represents fully vested Common Shares issued in payment of the Reporting Person's retainer for Board and Committee service for the quarters ended September 30, 2022 and December 31, 2022 in the aggregate amount of $29,750 in lieu of cash under the Company's temporary Board retainer payment program, which was approved by the Company's Board of Directors on October 14, 2022.
