Explanation of Responses:

1. Options granted under the Fourth Amended and Restated 2010 Stock Incentive Plan and will vest over a period of four years with 25% of the shares underlying the stock option vesting on December 2, 2022, and an additional 6.25% of the shares vesting at the end of each successive three-month period thereafter until the options are fully vested on December 2, 2025, subject to Dr. Hohneker's continued service on the Company's Board.
